These Terms of Service ("Terms") are an agreement between you and Spirit Ventures ("Spirit Ventures," "we," "us," or "our"). They govern your use of the Wing mobile application and any related websites, products, and services we provide, including wingdatenight.com (collectively, the "Service").
1. Acceptance of Terms
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf.
2. Eligibility
You must be at least 18 years old to use the Service. You are responsible for ensuring that your use of the Service complies with applicable laws and regulations.
3. The Service
Wing provides personalized date recommendations, planning tools, timely local ideas, and optional connection activities. Some features may use artificial intelligence and may produce outputs that are inaccurate, incomplete, or inappropriate. You are responsible for how you use any outputs and for verifying information before relying on it (for example, venue details, pricing, hours, or availability).
4. Accounts and Security
You may need an account to use parts of the Service. You agree to provide accurate information, keep it up to date, and safeguard your login credentials. You are responsible for activity that occurs under your account, unless caused by our breach of these Terms.
5. User Content
The Service may allow you to submit content (for example, messages, responses, preferences, notes, images, or audio) ("User Content"). You retain ownership of your User Content as between you and us. You grant Spirit Ventures a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content solely to operate, provide, maintain, and improve the Service (including supporting AI-powered features), and to comply with law.
If you share the Service with a partner or connect accounts, you understand that certain information and User Content may be shared with that partner within the Service according to your settings and actions.
6. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with other users' enjoyment of the service
- Upload malicious content or code
- Reverse engineer, scrape, or bypass access restrictions
- Use the Service to violate another person's privacy or rights
7. Subscriptions, Trials, and Payments
Some features may require a paid subscription. If you purchase a subscription, you authorize us (and our payment processor) to charge applicable fees, taxes, and renewals. Subscriptions may auto-renew unless you cancel before the renewal date. We may change subscription offerings and pricing over time, subject to applicable law and any required notice.
8. Third-Party Services and Links
The Service may integrate with or link to third-party services (for example, map providers, venue information, reservations, analytics, authentication providers, and AI model providers). Your use of those third-party services is governed by their terms and policies, and we are not responsible for them.
9. Intellectual Property
The Service and its content, features, and functionality (excluding User Content) are owned by Spirit Ventures or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service unless we give you written permission.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have read our Privacy Policy.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access to the Service if we believe you violated these Terms, if required by law, or to protect the Service and other users. Where appropriate, we may attempt to provide notice and an opportunity to appeal or resolve the issue.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Service is for informational and entertainment purposes only and is not a substitute for professional advice (including medical, mental health, legal, or financial advice). If you believe you or someone else is in danger, contact emergency services.
13. Limitation of Liability
To the fullest extent permitted by law, Spirit Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of (or inability to use) the Service.
14. Indemnification
You agree to defend, indemnify, and hold harmless Spirit Ventures and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your violation of these Terms.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to provide notice (for example, by posting an updated date or providing in-app notice). Continued use of the Service after changes become effective means you accept the updated Terms.
16. Governing Law; Miscellaneous
These Terms are governed by the laws of the jurisdiction in which Spirit Ventures is established, without regard to conflict of law principles. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. These Terms are the entire agreement between you and Spirit Ventures regarding the Service and supersede any prior agreements relating to the Service.
